1. GENERAL
These terms and conditions govern wholesale purchases made through the Hemptouch B2B partner portal (b2b.hemptouch.com), operated by Hemptouch d.o.o., Slovenia (the "Seller"). The portal is intended exclusively for business customers (B2B). By placing an order, the buyer confirms that they are purchasing in the course of their business activity and that they accept these terms.
2. ACCESS AND ACCOUNTS
Access to the portal is granted by the Seller. There is no public registration. The buyer is responsible for keeping their sign-in credentials confidential and for all orders placed through their account. The Seller may suspend or deactivate an account at any time in the event of misuse or overdue obligations.
3. PRICES
All prices are quoted in EUR, exclusive of VAT, EXW (Ex Works) the Seller's warehouse, unless agreed otherwise in writing. The buyer's individual discount or contractual prices are shown in the portal after sign-in. Products marked "FIX" have a fixed price that is independent of the buyer's discount. The Seller reserves the right to change prices; prices in orders that have already been submitted remain unchanged.
4. ORDERS
Orders are placed by the box; quantities are automatically converted to pieces. The minimum order value is shown in the portal. A submitted order is binding for the buyer. The order is confirmed when the Seller issues a proforma invoice. The Seller may reject an order in whole or in part (e.g. due to stock availability), in which case the buyer is notified without delay.
5. PAYMENT
Unless agreed otherwise in writing, payment is 100% in advance on the basis of the proforma invoice. Goods are dispatched after the payment has been credited to the Seller's account. For buyers within the EU with a valid VAT ID, the reverse-charge mechanism applies; otherwise Slovenian VAT is charged where required by law.
6. DELIVERY
The estimated dispatch time is up to 5 working days from receipt of payment, unless stated otherwise. Shipping costs are charged as shown in the portal (as a percentage of the order value or determined upon invoicing). Risk passes to the buyer in accordance with the agreed delivery terms (EXW). The buyer must inspect the goods upon receipt and report any transport damage or discrepancies within 8 days.
7. RETURNS AND COMPLAINTS
As sales are made between businesses, consumer withdrawal rights do not apply. Complaints regarding hidden defects must be reported in writing without delay after discovery. Returns are only possible by prior written agreement with the Seller. Goods must be unopened, undamaged and in their original packaging.
8. PRODUCTS AND RESALE
The buyer undertakes to store and resell the products in accordance with the manufacturer's instructions and applicable regulations of the country of resale. The buyer may not alter the products, their packaging or labelling without the Seller's written consent. The Hemptouch brand and related intellectual property remain the exclusive property of the Seller.
9. DATA PROTECTION
The Seller processes the buyer's business and contact data for the purpose of fulfilling orders and managing the business relationship, in accordance with applicable data protection legislation.
10. LIABILITY
The Seller's liability for damage is limited to the value of the relevant order, except in cases of intent or gross negligence. The Seller is not liable for indirect damage or lost profit.
11. FINAL PROVISIONS
The law of the Republic of Slovenia applies. The parties shall attempt to resolve disputes amicably; otherwise the competent court in Slovenia shall have jurisdiction. The Seller may amend these terms; the version published on the portal at the time of the order applies.
